Payment Conditions: An irrevocable, transferable, divisible, unencumbered, unconditional, fully funded Letter of Credit confirmed by a U.S. Bank or the U.S. branch of a Top 50 World Bank or a Top 25 Western Europe Bank payable 100% at sight in our bank against presentation of shipping documents as per contract. The documentary letter of credit shall be negotiable and payable at the seller’s bank and the opening bank shall allow adding confirmation by any bank at the expense of the buyer’s side. The letter of credit shall be transferred by Buyer’s bank directly to Seller’s bank.

REQUIREMENTS: Send LOI/BCL to receive FCO.

OUR PERSONAL MEETING WITH THE BUYER WOULD BE MUTUALLY BENEFICIAL.

NON NEGOTIABLE CONDITIONS:

· LC must be issued or confirmed by a top a U.S. bank or the U.S. branch of a Top 50 World Bank or a Top 25 western Europe bank at buyer’s cost.

· LC to be negotiated without delay with shipping documents.

· Performance Bond shall not exceed 2% of shipment cost in any case.

· Performance bond to be opened after non-operative LC.

· Activation of performance bond activates LC.

· Inspection by SGS or similar at Seller’s cost.

No deviations from these policies will be entertained.

BUYER RETURNS THE DRAFT CONTRACT TO THE SELLER, VIA FAX OR EMAIL, DULY SIGNED AND SEALED WITHIN 5 DAYS OF RECEIPT. ALL CHANGES MUST BE MADE AT THE SAME TIME.

SELLER REVIEWS AND CONFIRMS ANY CHANGES MADE IN DRAFT CONTRACT, IF IN AGREEMENT, SELLER ISSUES FINAL CONTRACT

BUYER RETURNS FINAL CONTRACT TO THE SELLER, VIA FAX OR EMAIL, DULY SIGNED AND SEALED WITHIN 5 DAYS OF RECEIPT. ALONG WITH THE DRAFT CONTRACT THE BUYER WILL SEND THE DRAFT COPY OF THE PROPOSED TEXT OF THE LETTER OF CREDIT FOR SELLER’S APPROVAL.

BUYER’S BANK SENDS PROOF OF FUNDS TO SELLER’S BANK.

SELLER’S BANK SENDS PROOF OF PRODUCT TO BUYER’S BANK AND DRAFT PB TO BUYER.

BUYER’S BANK ISSUES NON-OPERATIVE, CONFIRMED LETTER OF CREDIT TO SELLER’S BANK

SELLER ISSUES NON-OPERATIVE 2% PB IN THE FORM OF A STANDBY LETTER OF GUARANTEE/CREDIT

ACTIVATION OF THE PB AUTOMATICALLY ACTIVATES LC.

DELIVERY AND SHIPMENT COMMENCE AS PER SCHEDULE MUTUALLY AGREED.

Delivery: 30 / 45 days after Seller’s Bank acceptance of banking financial

instrument issued by Buyer’s Bank.
